Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Web-Site-Scripts website, products, software, hosted services, and related support services (collectively, the “Services”). The Services are operated by Helprace, Inc. (“Helprace,” “Web-Site-Scripts,” “we,” “us,” or “our”).
By accessing the website, creating an account, purchasing a license, starting a subscription, or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. Company and Operator
Web-Site-Scripts is operated by Helprace, Inc., a Delaware corporation. Current contact and company information is available on our Contact page.
2. Products and Services
Web-Site-Scripts provides KnowledgeBase Manager Pro, a knowledge base software product available in the following forms:
- Self-hosted software: installable software licensed for use on your own server or hosting environment.
- Hosted service: a hosted knowledge base subscription operated by or on behalf of Helprace.
Some legacy Web-Site-Scripts products may remain referenced on the website for existing customers or historical purposes. Unless expressly stated otherwise, legacy products are no longer offered for new purchases.
3. Self-Hosted Software License
If you purchase self-hosted software, your use of that software is also governed by the applicable End User License Agreement (“EULA”). If there is a conflict between these Terms and the EULA regarding your software license rights, the EULA will control for the self-hosted software.
You are responsible for installing, configuring, securing, maintaining, and backing up your own self-hosted environment unless you separately purchase services from us that expressly include such work.
4. Hosted Service Accounts
To use the hosted service, you may need to create an account and provide accurate account, billing, and contact information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must promptly notify us if you believe your account credentials have been compromised or if there has been unauthorized use of your account.
5. Subscriptions, Billing, and Taxes
Hosted services may be offered on a subscription basis. Subscription prices, billing intervals, included features, and usage limits are shown on the applicable pricing, order, or checkout page.
Unless stated otherwise at checkout, subscriptions automatically renew for the selected billing period until canceled. By starting a subscription, you authorize us and our payment processor to charge your payment method for recurring fees, applicable taxes, and any other amounts due under your account.
Prices are exclusive of taxes unless stated otherwise. We may calculate, collect, and remit applicable sales tax, VAT, GST, or similar taxes where required. You are responsible for providing accurate billing and tax information.
Payments are processed by third-party payment processors, including Stripe. We do not store full credit card numbers on our own servers.
6. Cancellation
You may cancel a hosted subscription through the billing portal, account settings, or by contacting support. Cancellation stops future renewals but does not automatically refund fees already paid. Unless otherwise stated, your hosted service remains available until the end of the current paid billing period.
If payment fails or your account has overdue amounts, we may suspend or restrict access to the hosted service until payment is completed. We may also terminate accounts that remain unpaid for an extended period.
7. Refunds and Delivery
Refunds, cancellations, and delivery terms are described in our Refund, Cancellation & Delivery Policy. For digital products and hosted services, delivery is electronic. No physical shipment is provided.
Self-hosted software is generally delivered by download, license access, or other electronic means after payment. Hosted services are provisioned online after account setup, subscription activation, or payment, as applicable.
8. Acceptable Use
You agree not to use the Services to:
- violate any applicable law, regulation, third-party right, or contractual obligation;
- send spam, phishing messages, malware, or other harmful or deceptive content;
- attempt to gain unauthorized access to our systems or any third-party systems;
- interfere with the security, integrity, availability, or performance of the Services;
- upload or distribute content that is unlawful, infringing, abusive, defamatory, or harmful;
- use the Services for activities prohibited by applicable sanctions, export control, or anti-money laundering laws;
- resell, sublicense, or provide the Services to third parties except as expressly permitted by us in writing.
9. Customer Content and Data
You retain ownership of content, data, and materials that you submit to or store in the Services (“Customer Content”). You grant us the limited right to host, process, transmit, display, and use Customer Content as necessary to provide, maintain, secure, and improve the Services and to comply with applicable law.
You are responsible for the accuracy, legality, and integrity of Customer Content and for obtaining all rights and permissions necessary to use it with the Services.
10. Backups and Data Export
For hosted services, we may maintain backups for operational continuity, but we do not guarantee that any specific content can be restored unless expressly stated in a separate agreement. You are responsible for keeping independent copies of important data where appropriate.
Upon cancellation or termination of a hosted service, you may request an export of your available data within 30 days, unless a different period is stated in your plan or required by law. After that period, we may delete or disable access to the account and its data in accordance with our data retention practices.
11. Support and Maintenance
Support options, response times, maintenance terms, and update availability may vary by product, license, subscription plan, or separately purchased service. We may update, modify, suspend, or discontinue features as part of normal product development, maintenance, security, or operational requirements.
12. Third-Party Services
The Services may integrate with or rely on third-party services, including payment processors, hosting providers, email delivery services, analytics providers, and other infrastructure providers. We are not responsible for third-party services that we do not control.
13. Intellectual Property
The Services, website, software, documentation, designs, trademarks, logos, and other materials provided by us are owned by Helprace, Inc. or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Services and related materials.
14. Confidentiality
Each party may receive non-public information from the other party in connection with the Services. The receiving party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Services, except where disclosure is required by law.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or compatible with every system, configuration, or third-party service.
16. Limitation of Liability
To the maximum extent permitted by law, Helprace, Inc. and its officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to us for the affected Service during the three months before the event giving rise to the claim.
17. Indemnification
You agree to defend, indemnify, and hold harmless Helprace, Inc. and its officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, and expenses arising from your use of the Services, your Customer Content, your violation of these Terms, or your violation of any law or third-party right.
18. Suspension and Termination
We may suspend or terminate access to the Services if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse the Services, or if we are required to do so by law. We may also suspend access to protect the Services, our customers, or third parties.
19. Changes to the Services or Terms
We may update the Services and these Terms from time to time. The “Last updated” date indicates when these Terms were last revised. Continued use of the Services after updated Terms become effective means that you accept the updated Terms.
20. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.
